The Team Solution, Inc., along with its subsidiaries and affiliates ("TSI"), provides the information and services on its World Wide Web site(s) (the "Site") under the following terms and conditions. By accessing and/or using the Site, you indicate your acceptance of these terms and conditions.

1. LAWS AND REGULATIONS. Access to and use of this Site are subject to all applicable international, federal, state and local laws and regulations. User agrees not to use the Site in any way that violates such laws or regulations.

2. COPYRIGHT AND TRADEMARKS. The information available on or through this Site is the property of TSI, or its licensors, and is protected by copyright, trademark, and other intellectual property laws. 9. PRIVACY. Protecting the privacy of our clients and users of our Sites is important to TSI. The TSI Web Site Privacy Statement describes how we use and protect information you provide to us.

10. SECURITY. Data transmitted to and from TSI client Sites is encrypted for the user's protection. However, the security of information transmitted through the Internet can never be guaranteed. TSI is not responsible for any interception or interruption of any communications through the Internet or for changes to or losses of data. User is responsible for maintaining the security of any password, user ID, or other form of authentication involved in obtaining access to password protected or secure areas of TSI sites. In order to protect you and your data, TSI may suspend your use of a client site, without notice, pending an investigation, if any breach of security is suspected.

11. TRANSMISSION OF PERSONAL DATA. User acknowledges and agrees that by providing TSI with any personal information through the Site, User consents to the transmission of such personal user information over international borders as necessary for processing in accordance with TSI's standard business practices and the TSI Web Site Privacy Statement.

12. ACCESS TO PASSWORD PROTECTED/SECURE AREAS. Access to and use of password protected and/or secure area of the Site is restricted to authorized users only. Unauthorized access to such areas is prohibited and may lead to criminal prosecution.

13. PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT INFRINGEMENT. Pursuant to the Digital Millennium Copyright Act, TSI has registered an agent with the U.S. Copyright Office. 14. JURISDICTION/GOVERNING LAW. These terms and conditions shall be governed and construed in accordance with the laws of the State of New Jersey, USA, and applicable federal laws without regard to conflicts of law principles. User agrees that any and all proceedings relating to this site and the subject matter contained herein shall be maintained in the courts of the state of New Jersey or the federal district courts sitting in New Jersey, which courts shall have exclusive jurisdiction for such purpose.
TERMS and CONDITIONS - TSI Promotions

Green Pay:

Claims: Saving represented are for promotional purposes and will vary based on your individual circumstances.
Conditions: In order to qualify for savings in costs, the following conditions are required.
1.) Direct Deposit: All employees must be paid on a Direct Deposit basis. For those employees who can not establish a direct deposit, we can provide a vendor who can offer "Pay Card services. The client, upon their approval, will be contacted directly by our affiliated vendor. Employer is under no obligation to accept the vendors proposal. in addition, please make certain that you are aware of and compliant with all applicable laws, rules and regualtions regarding employee involvement in alternate payroll distributiion before proceeding.
2.) Print Back: If checks do need to be printed, we offer a print back capability that will allow you to print checks on your premises.
3.) Savings: Savings are calculated on the reduction/elimination of overnight shipping costs for traditional payroll delivery (printed checks and reports) between our processing center and your delivery location. Prices are set by the delivery company utilized for the service delivery. Saving are also inclusive of price differentials between printed/delivered checks and direct deposit fees.

FREE Payroll Processing:

Claim: Free payroll processing for one year.

1.) Free refers strictly to standard payroll processing fees which are inclusive of the base fee, per check fee, per direct deposit fee and per Pay Card loads. Those items that do not fall under the heading of payroll processing fess are inclusive of but not strictly limited to delivery costs of any type, other optional services provided, charges related to special requests or projects, special reports, custom reports, GL exports, nor does it include any type of tax (federal, state, local) or other fee(s) proscribed by law, year-end tax processing set up and production fees for preparation, printing and filing of w2's and 1099's, tax processing surcharges for additional states other than your base state and additional base charges for additional FEIN's.

  1. ) Rules
  2.        a.) All referrals must be qualified prospects. A qualified prospect is one who has authorized you to provide their name and contact information as required on our form. All fields are required to be completed before final submission. Only those submissions entered through our form will be accepted. No other form of submission will be accepted. Referral must agree to speak with a TSI representative to discuss their needs, obtain additional information, present and discuss our services proposal. Referral is under no obligation to purchase any product or serive offered by TSI.
           b.) Five new clients that you've referred, must sign up for services offered by TSI within one (1) year from your first payroll processing date. The new client must have annual payroll processing costs that are equal to or greater than your annual payroll processing costs to qualify. The new client must run payroll with TSI for a minimum period of three (3) consecutive quarters within the same calendar year from the first date of their first payroll processed.
           c.) For those referrals that you've registered who sign up for services offered by TSI within one (1) year from your first payroll processing date who do not have annual payroll processing revenues that are equal to or greater than your annual payroll processing costs, those new clients will be aggregated (based on their own respective annual payroll processing costs) and when the aggregated amount equals or exceeds your annual payroll processing costs, will that agregated amount be applied and credited.
           d.) Once you have qualified, based on the conditions stated above, your free payroll procesing will begin at the start of the next calendar quarter, with the first payroll dated within that new calendar quarter. Your free payroll processing must run consequitively for; 52 pay periods for weekly payroll, 26 pay periods for bi-weekly payroll and 24 pay periods for semi-monthly payroll. The free payroll offer will end immediately upon the earliest of any of the following; 1.) the payroll processing shcedule is interrupted and payroll processing does not occur for one (1) payroll processing period, 2.) the client has received free payroll processing for fifty two (52) conswecutive pay periods, twenty six (26) consecutive pay periods or twenty four (24) consecutive pay periods.
           e.) There is no limit to the number of free annual payroll processing certificates that can be accumulated based on meeting the qualifications for each. Free payroll processing certificates are non-transferrable except in those situations where the transferree continues the relationship (uninterupted) with TSI.
           f.) Free payroll processing certificates have no monetary value and can not be redeemed in any way for any type of consideration whether monetary or not.
